Our Commitment to Online Security

Our physical, electronic and managerial procedures have been employed to safeguard the security and integrity of personal information. Billing information is encrypted whenever transmitted or received online. Personal information is accessible only by staff designated to handle online complaints or requests. All of our staff members with access to personal information obtained on our web sites are also bound to adhere to this policy.

How We Use Personal Information Collected Online

We will not use your personal information for any purpose other than that for which it is submitted. We use personal information to reply to inquiries, handle complaints, provide operational notices and in program record-keeping. We do not sell, trade or rent your personal information to any other party.

TERMS/CONDITIONS

Unless otherwise specifically stated, images remain the property of GMAImages or the particular Author. GMAImages represents that it has the right to grant the license on behalf of the Author.

1)Non exclusive licensing is permitted for one time only under the terms/conditions listed in this letter and/or subsequent indications. Any other usage on any media (internet, cd, etc.) is subject to the express written agreement of GMAImages. Recipient does not acquire any right, title or interest in or to any image, including, without limitation, any electronic reproduction or promotional rights, and will not make, authorize or permit any use of the particular image(s), or digital files made other than as specified herein. No model releases or other releases exist on any images unless GMAImages specifies the existence of such release in writing.

2)GMAImages gives no right or warranties with respect to the use of names, trademark, logo types, registered or copyrighted designs or works of art depicted in any image, and the Recipient must satisfy itself that all necessary rights, consents or permissions as may be required for reproduction are secured.

3)No alteration to the photographs is allowed without approval from the Author.

4)Cover usage is subject to specific authorization and additional fee.

5)The licensing rights are granted for a maximum period of six months from delivery of images.

6)Other International editions: The Client shall not be entitled to sub-contract or assign or transfer, whether in whole or in part, any of his obligation or licensing rights licensed to him by GMA Images.

7)Digital files are provided “as is”. GMAImages makes no representation or warranty, either express or implied, quality of image, or compatibility with any computer hardware or other equipment, operating system or software program.

8)This contract contains all the terms of the agreement between us concerning delivery and review of images, and no terms and conditions may be added or deleted unless made in writing.

9)Payment herein is to be net thirty (30) days. A service charge of two (2%) percent per month on any unpaid balance will be charged thereafter.

Limitation of liability

Under no circumstances will GMAImages or the owner of the image be liable for any direct, incidental, consequential, indirect or punitive damages as a result of the use of the Images. In any event, the limit of liability of the copyright owner of the image and GMAImages shall be the fee paid for the artwork to GMAImages.

You agree to indemnify and hold GMAImages its officers, director, employees, and the copyright holder, harmless from any and all claims, liabilities, damages, costs and expenses, including reasonable attorney's fees, arising from the use of any image or any breach of this agreement.

Governing Law

Any and all disputes, with the exception of copyright claims, arising out of, under or in connection with this agreement, including, without limitation, the validity, interpretation, performance and breach hereof, shall be settled by arbitration in New York, New York. If Recipient is an agent for or an employee of a non-U.S. Company operating in a place of business outside of the United States or its territories, Recipient expressly agrees that any dispute regarding this contract shall be adjudicated within the United States in the manner described here.
